Terms & Conditions

Please read these Terms & Conditions (“Terms”) carefully before using the OdiL mobile application and services, operated by WASASOFT MOBILE & WEB DEVELOPMENT (“Company,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations in Papua New Guinea (PNG).
1. Description of Service
The OdiL mobile application facilitates transactions between merchants and customers within Papua New Guinea. The Service acts solely as a platform to connect Users and Merchants and to relay transaction status updates.
IMPORTANT LIMITATION: We are NOT a bank, financial institution, or licensed payment processor. We do not hold customer funds or process card details.
2. Payment Processing and External Providers (RISK ASSUMPTION)
2.1 External Payment Gateway
All payment details (CIF#, customer name, and OTP) are entered, processed, and secured directly by our designated payment gateway, BSP Pay. We do not process or handle sensitive card information as our service depends entirely on secure API calls to the payment gateway. We only receive a status notification (success or failure) from the gateway to update the transaction record. We do not store sensitive payment information.
2.2 External Service Dependencies
The functionality and uptime of the Service are dependent on several external service providers, including but not limited to: a. BSP Pay (Payment Gateway) b. Strapi (Cloud Services) c. Underlying bank service providers d. Communication network providers (telcos).
2.3 Assumption of Risk
YOU ACKNOWLEDGE AND AGREE THAT BY USING THE SERVICE AND PURCHASING A SUBSCRIPTION, YOU ASSUME THE ENTIRE RISK OF SERVICE FAILURE OR INTERRUPTION DUE TO THE DOWNTIME, ERRORS, OR SECURITY BREACHES OF ANY EXTERNAL THIRD-PARTY PROVIDER (INCLUDING THOSE LISTED IN SECTION 2.2) THAT IS BEYOND OUR DIRECT CONTROL. NO REFUNDS WILL BE ISSUED SOLELY BASED ON EXTERNAL SERVICE FAILURES.
3. Account Registration and Compliance
3.1 Business Details
To ensure compliance and for fraud prevention purposes, Merchants are required to complete an onboarding process and upload accurate and current business details, including name, physical address, email, and contact information.
3.2 AML/CTF Compliance (Papua New Guinea)
You must comply with all applicable laws and regulations in Papua New Guinea, including Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) policies.
3.3 Account Deactivation
We reserve the absolute right to immediately deactivate, suspend, or terminate your account (both Merchant and Customer) without prior notice or liability if we receive advice from BSP Bank, any relevant regulatory body, or any banking partner that your account or activity is non-compliant with AML or CTF policies or any other applicable law.
4. Pricing and Subscriptions
Access to certain features of the Service is offered via subscriptions, including monthly, quarterly, and annual options. By subscribing, you agree to pay the stated fees. All subscription payments are final (which explicitly excludes refunds for external service failures as per Section 2.3).
5. Data Retention and User Record Keeping
5.1 User Responsibility for Records
CUSTOMERS AND MERCHANTS ARE MANDATED TO MAINTAIN THEIR OWN FINANCIAL RECORDS, BOOKKEEPING, AND PHYSICAL BACKUPS FOR COMPLIANCE AND FINANCIAL RECORD-KEEPING PURPOSES. You must not rely solely on the Service for your permanent financial or business records.
5.2 Limited Data Retention
Due to operational limitations, we may retain transaction data and other user data for only one (1) to two (2) years. After this period, data may be permanently deleted. We are not liable for any data loss that occurs after this retention period.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of Papua New Guinea, without regard to its conflict of law provisions.
